1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Med Spa Growth Tools ("Company," "we," "us," or "our"). These Terms govern your access to and use of our website, software tools, apps, digital products, and any related services (collectively, "Services").

By purchasing a product, creating an account, submitting a form, or using any part of our Services, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our Services.

These Terms apply to all users of our Services, including med spa owners, operators, staff members, and any other individuals accessing our tools on behalf of a business.

2. Description of Services

Med Spa Growth Tools provides SaaS-based (Software as a Service) products and digital tools designed specifically for the medical spa and aesthetic industry. Our current offerings include, but are not limited to:

• Med Spa Price Estimator — a customizable, embeddable web tool that allows website visitors to estimate treatment pricing (e.g., Botox and dermal fillers) before booking a consultation
• Additional tools, apps, and digital products for med spa marketing, lead generation, and client conversion as released from time to time
• Setup, customization, onboarding, and ongoing technical support services

All Services are provided on a subscription and/or one-time fee basis as described at the point of purchase. Features and availability of Services may change at our discretion with reasonable notice.

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be a business owner, authorized representative, or employee of a licensed medical spa or aesthetic practice
• Have the legal authority to enter into a binding agreement on behalf of yourself or your business
• Provide accurate and complete information during registration and purchase

We reserve the right to refuse service to anyone at our sole discretion.

4. Account Registration and Responsibilities

Some of our Services may require you to provide business and contact information during the onboarding process. You agree to:

• Provide accurate, current, and complete information
• Keep your contact and billing information up to date
• Notify us promptly of any unauthorized use of your account or any security breach
• Take responsibility for all activity that occurs under your account

You are responsible for maintaining the confidentiality of any login credentials provided to you. We are not liable for any loss or damage resulting from unauthorized account access due to your failure to secure your credentials.

5. Fees, Billing, and Payment

5.1 Pricing

Our Services are offered at the prices displayed at the time of purchase. Current pricing for the Med Spa Price Estimator includes:

• One-Time Setup Fee: $199 — covers full branded customization, pricing configuration, and website embedding
• Monthly Subscription: $39/month — covers hosting, updates, lead capture functionality, and ongoing support

Pricing for additional tools and future products will be displayed at the point of purchase and may differ.

5.2 Billing

Monthly subscription fees are billed automatically on a recurring basis on the same day each month. By providing your payment information, you authorize us to charge the applicable fees to your payment method on the billing cycle you selected.

5.3 Failed Payments

If a payment fails, we will attempt to notify you and retry the charge. If payment remains unsuccessful after reasonable attempts, we reserve the right to suspend or terminate your access to the Service until payment is resolved.

5.4 Price Changes

We reserve the right to modify pricing at any time. Existing subscribers will be given at least 30 days' written notice before any price increase takes effect. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

6. Refund Policy

6.1 Setup Fee

The one-time setup fee of $199 is non-refundable once work has begun on your customized tool. This includes any branding, pricing configuration, or embedding work performed by our team. If you cancel before any setup work has started, you may be eligible for a full refund at our discretion.

6.2 Monthly Subscription

Monthly subscription fees are non-refundable for the current billing period. You may cancel your subscription at any time, and your access will continue through the end of the paid billing period. No partial-month refunds are issued.

6.3 Exceptions

If you experience a verified technical failure caused solely by our platform that renders the tool completely non-functional, and we are unable to resolve it within 7 business days, you may request a prorated credit or refund for the affected period. Refund requests must be submitted in writing within 14 days of the issue.

7. Cancellation

You may cancel your monthly subscription at any time by contacting us in writing via email. Cancellations take effect at the end of the current billing cycle. After cancellation:

• Your tool will be deactivated and removed from our hosting at the end of the billing period
• Any lead data captured through the tool should be exported before cancellation, as we cannot guarantee data availability after termination
• The setup fee is not refunded upon cancellation

We reserve the right to cancel or suspend your account at any time for violation of these Terms, non-payment, or any conduct we determine to be harmful to our business or other clients.

8. Acceptable Use

You agree to use our Services only for lawful purposes and in a manner consistent with all applicable federal, state, and local laws and regulations. You agree not to:

• Use our tools to misrepresent pricing or make false claims to consumers
• Resell, sublicense, or distribute our tools without prior written permission
• Attempt to reverse-engineer, decompile, or copy our software or tools
• Use our Services to send spam, unsolicited communications, or misleading marketing
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services in connection with any practice that violates medical board regulations or applicable healthcare advertising laws
• Input false, fraudulent, or misleading pricing data into any of our tools

Violation of this section may result in immediate termination of your account without refund.

9. Medical and Regulatory Disclaimer

The Med Spa Price Estimator provides general pricing estimates based on information you configure. These estimates are for informational purposes only and do not replace a professional consultation. You, as the med spa owner or operator, are solely responsible for:

• Ensuring that all pricing information entered into our tools is accurate and compliant with your state and local regulations
• Ensuring that your use of our tools complies with all applicable medical board guidelines, FTC advertising rules, and healthcare marketing laws
• Any claims, representations, or pricing shown to consumers through our tools
• Obtaining all necessary licenses, permits, and professional oversight required to operate your med spa

Med Spa Growth Tools is not a medical provider, healthcare organization, or regulatory body. We provide software tools only.

10. Intellectual Property

All content, software, code, design elements, branding, and materials created and owned by Med Spa Growth Tools — including but not limited to the Med Spa Price Estimator platform — are the exclusive intellectual property of Med Spa Growth Tools and are protected by applicable copyright, trademark, and intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use our tools for your own business purposes only. You do not acquire any ownership rights to our software or underlying technology.

Your Content

Any content you provide to us — such as your logo, brand colors, pricing information, or business details — remains your property. You grant us a limited license to use this content solely for the purpose of building and maintaining your customized tool.

11. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you also agree to our Privacy Policy.

You are responsible for obtaining any necessary consents from your own website visitors and clients in connection with data collected through our tools embedded on your website, in accordance with applicable privacy laws (including HIPAA, CCPA, and GDPR where applicable).

12. Third-Party Services and Integrations

Our Services may integrate with or rely on third-party platforms, including GoHighLevel (GHL), Google, and others. We are not responsible for the availability, accuracy, or conduct of any third-party services. Your use of third-party services is subject to their own terms and policies.

We may add, modify, or remove third-party integrations at any time without prior notice.

13. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of uninterrupted, error-free, or secure operation
• Guarantees of specific results, including increased bookings, revenue, or lead generation

While we strive to deliver high-quality tools and support, we do not guarantee that our Services will meet your specific business expectations or produce any particular outcome.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Med Spa Growth Tools and its owners, employees, contractors, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, clients, data, or business opportunities
• Damages arising from your use of or inability to use our Services
• Errors, inaccuracies, or interruptions in our tools or platform

In no event shall our total cumulative liability to you exceed the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Med Spa Growth Tools and its owners, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or relating to:

• Your use of our Services in violation of these Terms
• Any pricing information, representations, or claims made to consumers through our tools
• Your violation of any applicable law, regulation, or third-party right
• Any content or data you provide to us or input into our tools

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Med Spa Growth Tools is registered, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). You waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page and may notify active subscribers via email. Your continued use of our Services after the effective date of any changes constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements or order forms you execute with us, constitute the entire agreement between you and Med Spa Growth Tools with respect to the subject matter herein and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
